Terms of Service

The Service is intended for business operators. By creating an account, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent; and (c) your use of the Service complies with all applicable laws and regulations.

You are responsible for maintaining the confidentiality of your account credentials, including your password and authentication factors. You are responsible for all activity that occurs under your account.

You must notify AscendFi immediately at security@ascendfiai.com if you suspect unauthorized access to your account. AscendFi is not liable for losses or damages arising from unauthorized access resulting from your failure to maintain account security.

You may not use the Service to:

• —Violate any applicable law, regulation, or third-party right.
• —Input false, fraudulent, or intentionally misleading Operating Data.
• —Attempt to reverse-engineer, decompile, or extract the underlying AI models or architecture.
• —Circumvent authentication, access controls, or usage limits.
• —Resell, sublicense, or provide third-party access to the Service without prior written authorization from AscendFi.
• —Interfere with the operation of the Service or the infrastructure supporting it.
• —Use the Service to generate content that violates applicable laws or that is designed to deceive.

You retain ownership of all Operating Data you provide to Kaelia. AscendFi does not claim any ownership interest in your Operating Data.

By providing Operating Data, you grant AscendFi a limited, non-exclusive license to use that data solely to provide the Service to you — including to generate Intelligence Outputs, maintain your operating model, and support the technical operation of the platform.

AscendFi does not use Operating Data to train or improve AI models outside of those used exclusively to serve your account. AscendFi does not share Operating Data across accounts. See our Privacy Policy for complete data handling details.

AscendFi retains all rights to the Kaelia platform, including its AI systems, software architecture, user interface, and all associated intellectual property. These Terms do not transfer any AscendFi intellectual property to you.

You receive a limited, non-exclusive, non-transferable license to access and use the Service during the term of your account, subject to these Terms. Intelligence Outputs generated from your Operating Data are yours to use for your business purposes.

Kaelia generates Intelligence Outputs from the Operating Data you provide. These outputs are analytical tools designed to inform business decision-making. They are not professional advice of any kind. See our AI Disclaimer for full details on the limitations and appropriate use of Intelligence Outputs.

You remain solely responsible for all business decisions made using or informed by Kaelia outputs. AI-generated outputs may be incomplete, imprecise, or incorrect. You should apply independent judgment to all outputs before acting on them.

Subscription fees for the Service are set forth at the time of account creation and may be updated with advance notice. Fees are billed in advance on a recurring basis unless otherwise agreed. All fees are non-refundable except as expressly stated or required by applicable law.

Failure to pay fees may result in suspension or termination of account access.

You may terminate your account at any time through the account settings or by contacting support@ascendfiai.com. AscendFi may suspend or terminate your account for violations of these Terms, for non-payment, or for conduct that AscendFi reasonably determines to be harmful to the platform or to other operators.

Upon termination, your right to access the Service ends immediately. Operating Data will be retained for 90 days following termination and then permanently deleted. You may export your Operating Data prior to termination.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASCENDFI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ASCENDFI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ASCENDFI'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ASCENDFI IN THE THREE MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.
